These Terms & Conditions ("Terms") govern your access to and use of the website shivifacilitatorservice.com and the registration platform registration.shivifacilitatorservice.com (together, the "Platform"), operated by Shivi Facilitator Service Private Limited ("SFSPL", "Shivi Facilitator", "we", "us", or "our"). By accessing the Platform, submitting a registration form, or engaging our services, you ("User", "you", or "your organisation") agree to be bound by these Terms.

1. Nature of Services

SFSPL is a professional facilitation, advisory, and business development organisation operating as a CSR Aggregator, RFP & Tender Support Agency, and Strategic Partnership Facilitator. Our services include, without limitation:

  • CSR Implementation Support: needs assessment, partner due diligence, project design, field monitoring, and CSR-1/CSR-2 filing support.

  • Donor & Funding Linkage for NGOs: donor mapping, proposal writing, CSR partner matching, and fundraising strategy.

  • Business Development & Procurement: tender support, RFP management, bid preparation, consortium building, and grant applications.

  • CSR Strategy & Advisory: CSR policy design, SDG alignment, ESG/BRSR consulting, and Schedule VII compliance support.

  • Skill Development & Placement: training design, employer linkage, apprenticeships, and career support.

  • Impact Assessment & Social Audit: M&E frameworks, beneficiary surveys, social audits, and annual reports.

SFSPL acts solely as a facilitator and advisor connecting Corporates, NGOs, Government agencies, implementation partners, and other stakeholders. We are not a party to, and do not guarantee, any specific funding, grant, tender award, partnership, or CSR fund transfer arising from introductions or facilitation we provide.

2. Registration & Eligibility

  • Registration on the Platform is free of charge and open to Corporates/CSR Foundations, NGOs/CBOs/Trusts, Government Agencies, Implementation Partners, and other eligible organisations.

  • You must be legally authorised to represent the organisation on whose behalf you register, and all information submitted must be true, accurate, and complete to the best of your knowledge.

  • For NGO/Trust registrants, you confirm that your organisation is legally registered under applicable law (e.g., as a Trust, Society, or Section 8 Company) and, where applicable, holds a valid CSR-1 registration.

  • We reserve the right to verify submitted information, request supporting documentation, and decline, suspend, or terminate any registration at our discretion, including where information is found to be false, incomplete, or misleading.

3. Facilitation Process & No Guarantee of Outcome

Our standard facilitation process (registration and consultation, opportunity identification and matching, proposal and documentation, project execution and monitoring, compliance and reporting, and impact assessment) is intended to structure and support engagements between parties. However:

  • SFSPL does not guarantee that any registration will result in a successful match, funding commitment, tender award, grant, or partnership.

  • Timelines referenced on the Platform (such as the 48-hour review window) are indicative and not binding commitments.

  • Any due diligence conducted by SFSPL on NGOs, implementation partners, or other third parties is undertaken on a reasonable-efforts basis and does not constitute a warranty as to the suitability, solvency, legal compliance, or performance of any such third party.

4. Fees & Engagements

Registration on the Platform itself is free. Where SFSPL is separately engaged to provide advisory, implementation-support, tender/RFP, or other paid professional services, the scope, fees, payment terms, and deliverables for such engagement will be governed by a separate written service agreement, proposal, or invoice, which shall take precedence over these Terms in case of conflict for that specific engagement.

5. User Obligations

  • Provide accurate, current, and complete information in all registration and communication with us.

  • Use the Platform only for lawful purposes connected to genuine CSR, funding, tender, partnership, or related enquiries.

  • Not misrepresent your organisation's identity, registration status, financial capacity, or CSR/impact credentials.

  • Maintain the confidentiality of any non-public project, proposal, or partner information shared with you through the facilitation process, and use it solely for evaluating or executing the relevant engagement.

  • Comply with all applicable laws, including those relating to CSR (Companies Act, 2013 and rules thereunder), data protection, anti-corruption, and procurement, in your dealings facilitated through the Platform.

6. Intellectual Property

All content on the Platform, including text, graphics, logos, the "Shivi Facilitator" name and branding, process frameworks, and templates, is the property of SFSPL or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Platform content without our prior written consent, other than for your own internal evaluation of our services.

7. Third-Party Conduct & Limitation of Liability

  • SFSPL facilitates connections between independent third parties (Corporates, NGOs, Government bodies, and Implementation Partners) but does not control, and is not responsible for, the actions, omissions, representations, or performance of any such third party.

  • To the maximum extent permitted by law, SFSPL, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from your use of the Platform, participation in a facilitated project, or reliance on any introduction, match, or information provided.

  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Confidentiality

Both SFSPL and Users agree to treat proposal details, budgets, beneficiary data, and other non-public information exchanged during the facilitation process as confidential, and to use such information solely for the purposes of evaluating or executing the relevant CSR project or engagement, except where disclosure is required by law or regulatory authority.

9. Suspension & Termination

We may suspend or terminate your registration or access to the Platform, with or without notice, if we reasonably believe you have breached these Terms, provided false information, or engaged in conduct that could harm SFSPL, other Users, or the integrity of the Platform. You may request deactivation of your registration at any time by contacting us.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts at Lucknow, Uttar Pradesh, or Jamshedpur, Jharkhand, without prejudice to any statutory right to approach another forum.

11. Amendments

We may revise these Terms from time to time. The updated Terms will be posted on the Platform with a revised Effective Date, and continued use of the Platform after such changes constitutes acceptance of the revised Terms.
